Following the meeting of the Board of Directors, held 19 May 2014, which addressed issues related to the organization and holding of the Annual General Meeting of Shareholders (the AGM): the AGM agenda was approved, information to be provided to persons entitled to attend the AGM was determined, and the AGM Secretary was elected. Annual financial statements for 2013 were tentatively approved for further approval by the AGM.
The Board of Directors recommended to the General Meeting of Shareholders to approve the following profit distribution of IDGC of Centre following the results of fiscal year 2013: 216 906 thousand rubles, or 74.06 %, of the retained earnings of the reporting period to spend on development, 75 992 thousand rubles, or 25.94 %, of the retained earnings of the reporting period to pay as dividends on ordinary shares, amounting to 0.0018 rubles per 1 share. The dividend payment period to a nominal holder and a beneficial owner being a professional securities market participant was recommended no more than 10 working days, to other registered shareholders - 25 working days from the record date of the list of persons entitled to receive dividends. The record date of the list of persons entitled to receive dividends was defined - "14" July 2014.
In addition, the Board of Directors proposed to the General Meeting of Shareholders for approval the draft of the Articles of Association in a new edition, the draft of the Regulations on the procedure for preparation and holding of general meeting of shareholders of the Company in a new edition and the draft of the Regulations on the Audit Commission of the Company in a new edition.
Previously, the Board of Directors of IDGC of Centre decided to convene the Annual General Meeting of Shareholders of IDGC of Centre on 26 June 2014 in the conference centre of the hotel "Holiday Inn Vinogradovo" in Moscow (Dmitrovskoye shosse, 171), the start of registration of the meeting’s participants is at 9:00 a.m.
